Save yourself a $100 and get the Core 2 Duo E6600. Newegg.com - Intel Core 2 Duo E6600 Conroe 2.4GHz 4M shared L2 Cache LGA 775 Processor - Retail Its more than enough power and can be easily over-clocked to E6700 speeds. Also you may want to go with a better brand of RAM such as Kingston, Corsair, or OCZ. I'd go with Kingston if you don't plan on any overclocking on your RAM. Other than that everything else looks fine.
You may want to stick with XP for a while. Vista still has some problems that need to be worked out before its ready for prime-time gaming.
Other than the suggestions already given, i would drop the X-Fi and go with a higher end Audigy.
The rams fine if your not overclocking or tweaking timings.
